Official Rules

WHO IS ELIGIBLE:
This promotion ("Promotion") is open only to legal residents of the 50 United States and the District of Columbia, who are 18 years of age or older at the time of entry who: (1) are employed at a media, advertising or creative agency; (2) are employed in the media, advertising or creative division of a company; or (3) are a consultant submitting an entry on behalf of an entity identified above. IMPORTANT: If selected as the potential Grand Prize winner, submitter of the potential winning entry must provide written authorization from an officer of the company where he/she is employed or consults, permitting use of the entry as contemplated by these Official Rules AND (if applicable) from an officer of the business entity or group whose product or service is depicted in the entry. All of the above is subject to verification by NCM to NCM's sole satisifaction. The company on whose behalf the entry was submitted will be deemed the Grand Prize winner and will be awarded the Grand Prize, subject to the terms of these Official Rules. Employees of Regal Entertainment Group, The One Club, RSA Films, Inc. AMC Entertainment, Inc. and Cinemark, Inc. (together with their respective parents, subsidiaries and affiliates, the "Sponsor Affiliates") and National CineMedia, LLC (together with its parents, subsidiaries and affiliates, "National CineMedia"), and their respective advertising and promotion agencies, directors, trustees, agents, suppliers and their immediate family members and/or those living in the same household of each are not eligible. Void in Arizona, Louisiana, Maryland, Vermont and where prohibited by law.

HERE'S HOW TO ENTER:
Beginning 12:00 AM (ET) on 10/2/06 through 11:59 PM (ET) on 1/30/07, you may access National CineMedia’s "Larger Than Life" Contest by visiting www.largerthanlifecontest.com. Follow on-screen instructions to register with the OneShow and to enter the Contest. If you are paying your $250 (non-refundable entry fee) via credit card online, follow the on-screen instructions to submit your payment. If you are paying your $250 via check, please mail a copy of your entry form (itemized list), your completed Offline Payment Form along with your check (made payable to The One Club) to: The One Club, National CineMedia’s "Larger Than Life" Contest, 21 East 26th Street, 5th Floor, New York, NY 10010 to be received by 1/31/07. If a bounced check is received, the entry submitted with this check will be disqualified. If you are paying your $250 via the Offline Credit Card Method, please mail a copy of your entry form (itemized list) along with your completed Offline Payment Form to the address above to be received by 1/31/07. If your online or your offline credit card payment is not approved, the entry submitted with this credit card will be disqualified. Submit your original idea for a National CineMedia advertisement (in storyboard form – see below for format requirements) on behalf of the entity you represent.

STORYBOARD FORMAT REQUIREMENTS:
: Entrants must provide 8 frame storyboards for a :60 spot in a hard copy format. Entrants must send a print out/hard copy of the storyboard unframed, unmounted, in black and white or color, approximately 17" x 24", laminated or encapsulated in light plastic. Additionally, include in the package a copy of your itemized list (entry form), place your entry label on the back of the hard copy storyboard. Securely tape or glue your printed package slip to the outside of your package, affix U.S. mail first class postage, and mail to: National CineMedia's "Larger Than Life" Contest Entries, P.O. Box 5723, Blair, NE 68009-5723. All submissions must be received by 2/7/07. Failure to conform to the above requirements, including the failure to provide accurate contact information, may result in disqualification of the entry in National CineMedia's sole discretion. National CineMedia will not accept submissions in any manner other than as expressly provided in these Official Rules. Any entry supporting a product or service that is illegal or that is deemed by National CineMedia in its sole discretion to be competitive with any product included in the Sponsor Affiliate Product Lines (see a full listing of product lines at the end of these rules) will be disqualified at National CineMedia's sole discretion. The entry fee is a one time payment; there are no additional fees required to participate in this Promotion. ENTRY FEES ARE NON-REFUNDABLE.

National CineMedia and the Sponsor Affiliates are not responsible for lost, late, mutilated, incomplete, invalid, illegible entries, postage due or misdirected mail, which will be disqualified. You may enter as often as you wish, but each entry must be different, submitted separately and each requires a separate entry fee. Limit one entry per mailing package.

Storyboard idea/concept must be the original work of the author and must not infringe the intellectual property or proprietary rights of any third party. Entries will not be returned. The winning spot remains the exclusive property of National CineMedia for a 30-day period after winner selection and may be used by them during that time period. No express or implied contract to use your services in connection with the production of the "spot" is hereby made or implied. Any submitted storyboard should be based on a production parameter suitable for a 1-2 day shoot at a maximum production cost of approximately $250,000.

IMPORTANT CONDITIONS:
By entering this Promotion, you affirm that you have read these Official Rules and understand that you are bound by them. Receipt of the Grand Prize does not and shall not void, supersede or interfere with any contractual obligations the winning company may owe to any client of the winning company whose product or service is depicted in the entry. If the advertiser whose product or service is depicted in the winning submission refuses production of the :60 second spot, the prize will NOT be awarded to the company on whose behalf the entry was submitted and a potential alternate winning entry will be selected. Any taxes required by federal, state or local law will be the responsibility of the company on whose behalf the submission is made.

JUDGING:
All eligible entries will be judged by The One Club for Art & Copy, Inc. The entry which receives the highest number of votes throughout successive rounds of voting by the One Club's judging panel will be deemed the Grand Prize winner.

In the event of a tie during judging, tied entries will be rejudged by the One Club's judging panel. National CineMedia reserves the right to disqualify any entry that, in the sole opinion of National CineMedia or the judges, refers, depicts or in any way reflects negatively upon National CineMedia, any Sponsor Affiliate, the Promotion or any other person or entity. National CineMedia reserves the right to disqualify any entry that it deems unacceptable or unsuitable for public viewing in its sole discretion.

PRIZE:
(1) Grand Prize– Based on the winning submission, a spot (the "Spot") will be produced, as described in this paragraph, and shown in approximately 425 theatres on 4,200 movie screens beginning in October 2007, actual flight dates to be provided when prize is awarded in May 2007, as part of the on-screen program preceding the exhibition of PG-13 and R rated movies only. Spot duration will be at National CineMedia's discretion and will be a maximum of :60. Length of run of the spot, the number of times it is shown, as well as the number and location of theaters in which it is shown, are all within the discretion of National CineMedia. The winning company and the advertiser depicted in the Grand Prize entry (if applicable) will collaborate on production of the Spot with RSA Films, Inc., a production company selected by National CineMedia. The final Spot is subject to the approval of National CineMedia and the advertiser depicted. The Spot must be produced and completed by 9/10/07, and the winning company is expected to cooperate with the production company as necessary, in the production company's discretion to assure completion by such date. If for any reason the Spot is not completed and approved by this date, National CineMedia reserves the right to show it at a time and location as selected by National CineMedia in its sole discretion. Grand Prize winning company will be solely responsible for its own costs of collaboration in producing the Spot, including any agency or client travel associated with the production of the Spot; talent payment (excluding the first $1,500 of the talent payment, which RSA Films, Inc. will pay the agency that is producing the spot in collaboration with RSA Films, Inc., as part of the production cost prize) and holding fees and talent residuals associated with the production airing and distribution of said Spot. This includes adherence to all Screen Actor's Guild, American Federation of Music and any other union or guild rules and regulations if applicable. An officer of the winning company and if applicable, an officer of the advertiser depicted in the Grand Prize entry will enter into a production agreement, which shall be subject to RSA’s reasonable approval, unless the standard AICP agreement is used, in which case RSA is deemed to have pre-approved such standard agreement. Maximum cost of production assumed by National CineMedia: $250,000; Winning company will be responsible for any production embellishments it requests that create additional costs in excess of $250,000. If total production cost (including without limitation markup for the production company) is less than $250,000 remaining funds will not be awarded. Approximate media value of Spot being placed in theaters (subject to these Official Rules): $322,560. Total Approximate Retail Value of Grand Prize: $672,560. In addition, the Grand Prize winning company will designate an individual recipient(s) who may be eligible to receive the "Gold Pencil Award" based on the decisions of the judges. Gold Pencil Award has no monetary value. Grand Prize consists of only the items specifically listed as part of the prize.

GENERAL RULES:
Participation constitutes full and unconditional agreement to comply with these Official Rules and National CineMedia's and judges' decisions, which are final and binding in all matters related to the Promotion. Entries will not be returned. No correspondence will be acknowledged or entered into. Potential Grand Prize winning company will be notified by mail. Return of any prize/prize notification as undeliverable will result in disqualification and an alternate will be selected. The entry contact, an officer of the company on whose behalf the winning entry is submitted, and (if applicable) an officer of the company representing the business entity or group whose product or service was depicted in the winning storyboard may be required to sign and return an Affidavit of Eligibility/Authorization of Entry Submission/Release of Liability, within 14 days of attempted notification. Also, each member of the creative team will be required to sign a Publicity Release, if legally permissible. Failure to comply fully with this requirement may result in disqualification, in which event an alternate will be selected. If National CineMedia does not receive any entries or receives only ineligible or incomplete entries, the Grand Prize will not be awarded. All federal, state and local laws apply. National CineMedia reserves the right in its sole discretion to disqualify any entry which does not comply with these Official Rules. National CineMedia reserves the right to substitute prize of equal or greater value. No substitution or transfer of prize by winning company is permitted. Acceptance of prize constitutes permission for National CineMedia, its agencies and prize providers to use the name of the Grand Prize winning entity, (if applicable) the advertiser's name and/or likeness and all creative team members names/likenesses for advertising trade or other promotional purposes without further compensation, unless prohibited by law. By entering this Promotion, each submitter, and entity on whose behalf it is submitting the entry, and (if applicable) the advertiser whose product or service is depicted in the entry, agrees to defend, indemnify and hold harmless National CineMedia, each of the Sponsor Affiliates, the prize providers, and each of their respective directors, trustees, officers, employees, representatives, agents and assigns, from and against any and all claims, damages and liability arising out of (i) participating in the Promotion; (ii) use or redemption of any prize; and (iii) the use, by Sponsor or otherwise, of any submission or the Spot as permitted or contemplated by these Official Rules. Each entrant and (if applicable) the advertiser whose product or service is depicted in the submission assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Promotion or use or redemption of any prize and agree to be bound by the Official Rules and the decisions of the judges. National CineMedia, the Sponsor Affiliates, and their respective affiliates, subsidiaries, representatives and agencies are not responsible for any typographical or other error in the printing, the offering or the announcement of any prize or in the administration of the Promotion. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any promotional materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control.

INTERNET CAUTION:
National CineMedia is not responsible for any technical problems, malfunctions of any telephone lines, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission, transactions or any combination thereof. National CineMedia is not responsible for any damage to any participant's computer system/software related to or resulting from participation or downloading any materials in this Promotion. National CineMedia reserves the right to prohibit the participation of an individual/company in the Promotion if fraud or tampering is suspected, or if the individual/company fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules. Sponsor assumes no responsibility for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user’s internet service provider and/or e-mail client or for insufficient space in user’s e-mail account to receive e-mail. CAUTION: ANY ATTEMPT BY AN ENTRANT/COMPANY TO DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. If, for any reason, the Promotion cannot be conducted as planned by reason of infection by computer virus, unauthorized intervention, technical failures, or any other causes beyond the reasonable control of National CineMedia or RSA Films, Inc. which, in the sole opinion of National CineMedia and/or RSA Films, Inc., corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, National CineMedia reserves the right in its sole discretion to cancel, terminate, modify or suspend the Promotion. In the event of termination, a notice will be posted on-line and National CineMedia reserves the right in its sole discretion, but will not be obligated, to continue the Promotion, in which event all eligible entries collected prior to the time of termination will be included in the Promotion to award the prize. National CineMedia reserves the right to modify the Promotion or disqualify any entrant who engages in fraud, or other misconduct related to the Promotion, as determined by judges/National CineMedia, in their sole discretion.

For the name of the Grand Prize winning company and (if applicable) the advertiser whose product or service was depicted in the Grand Prize winning entry, send a separate, stamped, (no larger than #10 business-size) envelope to: THE NATIONAL CINEMEDIA LARGER THAN LIFE CONTEST Winner, P.
